Atlas Senior Loan Fund XXII Limited notice of merger

In accordance with Article 127FC of the Companies (Jersey) Law, 1991, as amended (the Law), Atlas Senior Loan Fund XXII, Ltd. (the Company) gives notice that:

• the Company intends to merge, in accordance with Part 18B of the Law, with Hampton Ponds Funding Unlimited, an unlimited company registered under the laws of British Columbia, Canada (MergerCo) with the Company surviving as the merged body and survivor company
• the merger agreement entered into between the Company and MergerCo in respect of the merger is available to creditors from the Company, free of charge, on request
• any creditor of the Company may: 
• object to the merger under Article 127FE(2)(a) of the Law
• require the Company to notify the creditor if any other creditor of the Company applies to the court under Article 127FE(2)(b) of the Law for the purpose of restraining the merger
