Take notice that by special resolution of the Company dated 19 August 2022, the Company has resolved to make an application to the Jersey Financial Services Commission for continuance in Canada.

Notice is hereby given that after the expiry of 21 days from the date hereof the Company intends to apply to the Jersey Financial Services Commission (the JFSC), pursuant to Article 127T of the Companies (Jersey) Law 1991, and in accordance with Part 18C of the Companies (Jersey) Law 1991, for authorisation to seek continuance in Canada, with a view to the Company being removed from the records of the Companies Registry of the JFSC and becoming incorporated under the laws of Canada (the Continuance).

Any creditor of the Company who objects to the Continuance may, within 21 days after date of this notice appearing as a notice in the Jersey Gazette, give notice of his objection to the Company at 50 La Colomberie, St. Helier, JE2 4QB, Jersey.

A creditor who gives notice in accordance with paragraph 127(R)(2)(d) of the Companies (Jersey) Law 1991 and whose claim against the Company has not been discharged may, within 21 days after the date of the notice, apply to the Royal Court of Jersey (the Court) for an order restraining the application by the Company under Article 127T of the Companies (Jersey) Law 1991 to the JFSC and if satisfied that the interests of the creditor would be unfairly prejudiced by the proposed Continuance, the Court may make such an order (subject to such terms, if any, as it may think fit).
