WTA Holdings Limited (the Company) Notice of intended demerger

In accordance with Regulation 6 of the Companies (Demerger) (Jersey) Regulations 2018 (the Demerger Regulations), the Company gives notice that:

1. the Company intends to demerge, in accordance with Regulation 2(1) of the Demerger Regulations, into two distinct Jersey companies (the Demerger);

2. the demerger instrument setting out the terms and conditions of the Demerger is available to any creditor of the Company, on request, free of charge, in accordance with Regulation 7(2)(b) of the Demerger Regulations; and

3. any creditor of the Company may:

(a) object to the Demerger under Regulation 10(2)(a) of the Demerger Regulations; or 

(b) require the Company to notify the creditor if any other creditor of the Company applies to the court under Regulation 10(2)(b) of the Demerger Regulations.
