Notice of Merger Pursuant to Article 127FA of the Companies (Jersey) Law 1991, as amended
Notice is hereby given on behalf of each of the companies listed below of their intention to merge in accordance with Article 127FA and Part 18B of the Companies (Jersey) Law 1991, as amended and continue with Guernroy Limited as the surviving merged company (the Merged Company) to be known as "Guernroy Limited".

(together, the Merging Companies)
The Merging Companies are wholly owned subsidiaries of Royal Bank of Canada (Channel Islands) Limited.
On completion of the proposed merger, all of the property, rights, liabilities and obligations to which each of the Merging Companies are respectively entitled or subject will become property, rights, liabilities and obligations of the Merged Company.
Copies of the special resolutions passed by each of Guernroy Limited on 12 January 2026 and Brewin Nominees (Channel Islands) Limited on 12 January 2026 approving the proposed merger are available free of charge on request at the address given below.
Any creditor of any of the Merging Companies may:
(a) object to the merger under Article 127FE(2)(a) of the Companies (Jersey) Law 1991, as amended; or
(b) require any of the Merging Companies to notify the creditor if any other creditor of the relevant Merging Company applies to the court under Article 127FE(2)(b).
