Notice is hereby given to all creditors of the Company that the Company has passed a special resolution to merge with Quotient Limited, a company incorporated under the laws of Jersey with registered number 109886 (Quotient) in accordance with Part 18B of the Companies Law, as amended (the Merger). 

Upon conclusion of the Merger, the Company and Quotient shall continue as 1 merged company to be known as Quotient Limited. A copy of the special resolution approving the Merger and the Merger Implementation Agreement entered into between the Company, Quotient Limited and Quotient Holdings Finance Company Limited (Merger Agreement) is available free of charge and on request to any creditor of the Company.

Any creditor of the Company who intends to object to the Merger may, within 21 days of this notice, communicate such objection to the Company in writing delivered to its registered address at 13-14 Esplanade, St Helier, JE2 3QA, Jersey. 

In accordance with Article 127FE (2)b of the Companies Law, any Creditor may otherwise require the Company to notify them of any application initiated by any other creditor of the Company to the Royal Court with a view to preventing the Merger or to modifying the Merger Agreement where the applying creditor’s claim has not been discharged after notice of it has been given to the Company.

A creditor who gives notice to the Company and whose claim against the Company has not been discharged may, within 21 days after the date of such notice, apply to the Royal Court for an order restraining the Merger.
