Radiate Limited merger

In accordance with Article 127FC of the Companies (Jersey) Law 1991 (as amended) (the "Law"), NOTICE is hereby given that Radiate Limited (the "Company") intends to merge, pursuant to Part 18B of the Law, with:

Ocorian Protector Services Limited, a Jersey registered company with registration number 122850;

Ocorian Enforcers Limited, a Jersey registered company with registration number 121204,

(together with the Company, the "Merging Companies"); and

Ocorian Limited a Jersey registered company with registration number 52417 (the "Survivor"),

 (the "Merger").

Following the Merger, the Survivor will continue as the survivor company and the Law provides that, the Merging Companies will cease to be incorporated and all property, rights and liabilities of the Merging Companies will become the property, rights and liabilities of the Survivor.

Any creditor of the Company that may object to the Merger by giving notice of that objection to the Company within 21 days of the date of publication of this notice.

A creditor who gives such notice of objection, and whose claim against the Company is not then discharged, may within 21 days of the date of the notice of objection apply to the Royal Court of Jersey for an order restraining the Merger ("Application"). Any other creditor of the Company may require the Company to notify them if any such Application is made.

A copy of the special resolutions passed by the Company under Article 127FA of the Law is available from the Company to creditors free of charge on request.

Any creditor of the Company that wishes to receive a copy of the special resolutions passed by the Company, or who wishes to give notice of objection, be notified if any other creditor makes an Application, or otherwise wishes to contact the Company in relation to the Merger should write to Nicholas David Harding as Group Finance Director at 26 New Street, St Helier, Jersey, JE2 3RA.
