Jersey Harbours and Airport Shadow Board: Terms of Reference

A formal published “Ministerial Decision” is required as a record of the decision of a Minister (or an Assistant Minister where they have delegated authority) as they exercise their responsibilities and powers.

Ministers are elected by the States Assembly and have legal responsibilities and powers as “corporation sole” under the States of Jersey Law 2005 by virtue of their office and in their areas of responsibility, including entering into agreements, and under any legislation conferring on them powers.

An accurate record of “Ministerial Decisions” is vital to effective governance, including:

  • demonstrating that good governance, and clear lines of accountability and authority, are in place around decisions-making – including the reasons and basis on which a decision is made, and the action required to implement a decision

  • providing a record of decisions and actions that will be available for examination by States Members, and Panels and Committees of the States Assembly; the public, organisations, and the media; and as a historical record and point of reference for the conduct of public affairs

Ministers are individually accountable to the States Assembly, including for the actions of the departments and agencies which discharge their responsibilities.

The Freedom of Information Law (Jersey) Law 2011 is used as a guide when determining what information is be published. While there is a presumption toward publication to support of transparency and accountability, detailed information may not be published if, for example, it would constitute a breach of data protection, or disclosure would prejudice commercial interest.

The Minister agreed the Terms of Reference for the Jersey Harbours & Airport Shadow Board and instructed that they be lodged ‘au Greffe’ for consideration by the States.

 

 

Reason(s) for Decision:

 

In line with the States decision on P170 the Minister is bringing the Terms of Reference for the new Jersey Harbours and Airport Shadow Board to the members for approval.

 

Resource Implications:

 

As this decision refers to the Terms of Reference there are no additional resource implications.

 

Action required:

 

The Assistant Director to request the Greffier of the States to arrange for the Report and Proposition containing the Terms of Reference for the new Jersey Harbours & Airport Shadow Board to be lodged ‘au Greffe’.

Jersey Harbours and Airport Shadow Board: Terms of Reference

Proposition

 

Terms of reference for the new Jersey Harbours and Airport Shadow Board.

 

The States are asked to decide whether they are of opinion –

 

To approve the terms of reference of the Jersey Harbours and Airport Shadow Board outlined in the report dated 25 March 2011.

Report

 

During the States sitting on 6th July 2010, the Minister for Economic Development announced the intention to create a single Shadow Board with a chair and non-executive members drawn from the private sector to provide to provide additional governance to both airport and Harbour operations.

 

In November 2010 the Minister announced the creation of the Jersey Harbours and Airport Shadow Board (MD-E-2010-0193) and informed members of the composition of the Board and the Terms of Reference.

 

The Minister stated that the Terms of Reference of the Shadow Board would be:

 

  • To define the optimum operational and governance structure and make a recommendation to the Minister for Economic Development to implement changes as necessary
  • To strengthen governance and good practice in all areas of Harbour and Airport operations
  • To challenge and support the executive teams
  • To develop strategy and business operations and ensure they are subject to rigorous independent commercial challenge in a manner which enhances governance at a pivotal time
  • To protect the interests of Jersey Airport and Jersey Harbours in moving towards the Aims and Objectives agreed by the States of Jersey
  • To ensure the ability of the Trading Operations to meet the objective of being self-funding and sustainable.
  • To undertake any other appropriate roles as agreed with the Minister for Economic Development.

And he is now presenting these to the States as required.

 

Following a recruitment process overseen by the Appointments Commission, Economic Development Minister, Senator Alan Maclean announced the composition of the Shadow Board:

In addition, the Airport Director, Chief Executive and Harbour Master and the Finance Directors of Jersey Airport and Jersey Harbours will attend Shadow Board meetings.
