States of Jersey Development Company Limited: Appointment of Non-Executive Directors

A formal published “Ministerial Decision” is required as a record of the decision of a Minister (or an Assistant Minister where they have delegated authority) as they exercise their responsibilities and powers.

Ministers are elected by the States Assembly and have legal responsibilities and powers as “corporation sole” under the States of Jersey Law 2005 by virtue of their office and in their areas of responsibility, including entering into agreements, and under any legislation conferring on them powers.

An accurate record of “Ministerial Decisions” is vital to effective governance, including:

  • demonstrating that good governance, and clear lines of accountability and authority, are in place around decisions-making – including the reasons and basis on which a decision is made, and the action required to implement a decision

  • providing a record of decisions and actions that will be available for examination by States Members, and Panels and Committees of the States Assembly; the public, organisations, and the media; and as a historical record and point of reference for the conduct of public affairs

Ministers are individually accountable to the States Assembly, including for the actions of the departments and agencies which discharge their responsibilities.

The Freedom of Information Law (Jersey) Law 2011 is used as a guide when determining what information is be published. While there is a presumption toward publication to support of transparency and accountability, detailed information may not be published if, for example, it would constitute a breach of data protection, or disclosure would prejudice commercial interest.

Subject:  To re-issue the Report and Proposition approved by Ministerial Decision (MD-TR-2016-0072) relating to the recommendation to appoint two Non-Executive Directors to States of Jersey Development Company (SoJDC), for a period of 3 years to take effect from 1st November 2016.

Decision(s):  The Minister decided to re-issue the Report and Proposition approved by Ministerial Decision (MD-TR-2016-0072), relating to the recommendation to appoint two Non-Executive Directors to  States of Jersey Development Company for a period of 3 years to take effect from 1st November 2016.

Reason(s) for Decision: 

 

Based on updated information provided by SoJDC on the recruitment process. The revised Report and Proposition to be re-issued is attached.

 

In 2010, under Projet P.73/2010 the States approved the Memorandum and Articles of Association for SOJDC.

 

Article 23(a) of the SoJDC Articles of Association states that the Board shall comprise the Chairman, the Managing Director, the Finance Director, the Ministerial Appointee, and three States Appointees (in addition to the Chairman).

 

Article 30(a) requires that States Appointed Non-Executive Directors should be appointed by the States on the recommendation of the Minister for Treasury and Resources and that the appointment shall take effect upon delivery to the office of notice in writing to that effect executed in accordance with Article 21(b) of the Memorandum and Articles of Association.

 

Article 29, allows the appointment of Non-Executive Directors for a three year duration, subject to Articles 30 and 32 which covers events for the retirement and termination of Non-executive Directors.

 

The appointments are required to replace retiring Non-Executive Directors.

Resource Implications: There are no direct financial or manpower implications as a result of this decision however the remuneration for the post of Non-Executive Director to The States of Jersey Development Company is £15,000 for 15 days commitment per annum. The cost of remuneration is borne by the SOJDC and not by the States of Jersey.

Action required: The Head of Decision Support to notify the Head of Shareholder Relations that the decision has been approved and the Greffier of the States to be requested to arrange for the proposition (P.93/2016, lodged au Greffe on 7th September 2016) to be re-issued and distributed to States Members at the earliest possible date.
