Sanctions and Asset-Freezing (Implementation of External Sanctions - Director Disqualification) (Jersey) Amendment Order 2025

A formal published “Ministerial Decision” is required as a record of the decision of a Minister (or an Assistant Minister where they have delegated authority) as they exercise their responsibilities and powers.

Ministers are elected by the States Assembly and have legal responsibilities and powers as “corporation sole” under the States of Jersey Law 2005 by virtue of their office and in their areas of responsibility, including entering into agreements, and under any legislation conferring on them powers.

An accurate record of “Ministerial Decisions” is vital to effective governance, including:

  • demonstrating that good governance, and clear lines of accountability and authority, are in place around decisions-making – including the reasons and basis on which a decision is made, and the action required to implement a decision

  • providing a record of decisions and actions that will be available for examination by States Members, and Panels and Committees of the States Assembly; the public, organisations, and the media; and as a historical record and point of reference for the conduct of public affairs

Ministers are individually accountable to the States Assembly, including for the actions of the departments and agencies which discharge their responsibilities.

The Freedom of Information Law (Jersey) Law 2011 is used as a guide when determining what information is be published. While there is a presumption toward publication to support of transparency and accountability, detailed information may not be published if, for example, it would constitute a breach of data protection, or disclosure would prejudice commercial interest.

Decision(s):

The Minister for External Relations decided to make the Sanctions and Asset-Freezing (Implementation of External Sanctions – Director Disqualification) (Jersey) Amendment Order 2025.

Reason for Decision(s):

On 14th May 2024, the United Kingdom (UK) updated its sanctions legislation through the Sanctions (EU Exit) (Miscellaneous Amendments) Regulations 2024 and the Sanctions (EU Exit) (Miscellaneous Amendments and Revocations) Regulations 2024 (the UK Regulations) to include director disqualification provisions. As a result of the UK Regulations, a person (natural or legal) who is designated for the purpose of UK director disqualification sanctions (DD Sanctions) will be prohibited from acting as a director of a UK company or directly or indirectly taking part in the promotion, formation or management of a UK company. No DD Sanctions designations have yet been made under any UK sanctions regime. These new UK provisions do not have automatic effect in Jersey and legislative change is required to implement them. To give effect to any UK DD Sanctions designations in Jersey, the Minister for External Relations made the Sanctions and Asset-Freezing (Implementation of External Sanctions – Director Disqualification) (Jersey) Amendment Order 2025 (the Amendment Order). The Amendment Order amends the Sanctions and Asset-Freezing (Implementation of External Sanctions) (Jersey) Order 2021 to provide that, unless authorised by a licence, it will be an offence for a person subject to DD Sanctions to: act as a director of a Jersey company, or directly or indirectly take part in or be concerned in the promotion, formation or management of a Jersey company; act as a manager of a Jersey limited liability company, or directly or indirectly take part in or be concerned in the promotion, formation or management of a Jersey limited liability company.

Resource Implications: There are no new financial and/or staffing implications.

 

Action Required: Department officers to take the necessary action. The Greffier of the States to be requested to arrange for the making of the Order to be notified to the States Assembly.
