NOTICE OF INTENDED MERGER PURSUANT TO ARTICLE 127FC OF THE COMPANIES (JERSEY) LAW 1991 (AS AMENDED)


In accordance with Article 127FC of the Companies (Jersey) Law 1991 (as amended) (the "Law"), NOTICE is hereby given on behalf CAPRI ACQUISITIONS MIDCO2 LIMITED (the "Company") of its intention to merge, pursuant to Part 18B of the Law, with:

REDTOP HOLDINGS LIMITED;

CAPRI ACQUISITIONS BIDCO LIMITED;

CAPRI ACQUISITIONS MIDCO1 LIMITED;

CAPRI ACQUISITIONS PIKCO LIMITED; and

CAPRI ACQUISITIONS TOPCO LIMITED,

(together, the "Merging Companies").


On completion of the merger, the Company and the Merging Companies will continue as one merged company; Capri Acquisitions Topco Limited, a Jersey registered company with registration number 124535 (the "Merger").

Any creditor of any of the Company that objects to the proposed Merger may give notice of that objection to the Company within 21 days of the date of this notice. 

A creditor who gives such notice of objection, and whose claim against the Company is not then discharged, may within 21 days of the date of the notice of objection apply to the Royal Court of Jersey for an order restraining the Merger.

Any creditor of the Company may require the Company to notify such creditor if any other creditor of the Company applies to the Royal Court of Jersey for an order restraining the Merger.

The special resolution of the Company is available to creditors of the Company on request and free of charge.

Any creditor of the Company that: wishes to receive a copy of the special resolution; wishes to give notice of objection; wishes to be notified if any other creditor applies to the Royal Court of Jersey for an order restraining the Merger or otherwise wishes to contact the Company should write to Andrew Goldberg, company secretary of the Company at 44 Esplanade, St Helier, Jersey, JE4 9WG.
