Andium Homes Limited: Appointment of Non-Executive Director - Tenant Representative

A formal published “Ministerial Decision” is required as a record of the decision of a Minister (or an Assistant Minister where they have delegated authority) as they exercise their responsibilities and powers.

Ministers are elected by the States Assembly and have legal responsibilities and powers as “corporation sole” under the States of Jersey Law 2005 by virtue of their office and in their areas of responsibility, including entering into agreements, and under any legislation conferring on them powers.

An accurate record of “Ministerial Decisions” is vital to effective governance, including:

  • demonstrating that good governance, and clear lines of accountability and authority, are in place around decisions-making – including the reasons and basis on which a decision is made, and the action required to implement a decision

  • providing a record of decisions and actions that will be available for examination by States Members, and Panels and Committees of the States Assembly; the public, organisations, and the media; and as a historical record and point of reference for the conduct of public affairs

Ministers are individually accountable to the States Assembly, including for the actions of the departments and agencies which discharge their responsibilities.

The Freedom of Information Law (Jersey) Law 2011 is used as a guide when determining what information is be published. While there is a presumption toward publication to support of transparency and accountability, detailed information may not be published if, for example, it would constitute a breach of data protection, or disclosure would prejudice commercial interest.

Appointment of Mrs Judy Beaumont to the Board of Andium Homes Ltd for a period of 3 years from 1st January 2017.

Decision(s):

The Minister, as Guarantor of Andium Homes Ltd, approved the recommendation to appoint Mrs Judy Beaumont to the Board of Andium Homes Ltd for a period of 3 years from 1st January 2017. This is subject to there being no objections after the 10 day period during which this recommendation is laid before the States Assembly.

Reason(s) for Decision:  

The Memorandum and Articles of Association of Andium Homes Ltd as approved by the States in P.60/2014 make provision for up to two tenant representative Non-Executive Directors.  During the initial recruitment campaign for the Board only one suitable candidate had been identified and appointed. Having now identified a second suitable candidate after a recruitment process approved by the Jersey Appointments Commission, the Board of Andium Homes Ltd are seeking to formally make this appointment.

 

Article 27 of the Articles of Association, dealing with the appointment of Directors, states that any successful candidate shall be recommended by the Board to the Guarantor and that such appointment can only be made by the Board once the Guarantor has approved any recommendation and has issued a Ministerial Decision to that effect.

 

Section 7.4 of the Memorandum of Understanding with Andium Homes Ltd also requires the Minister as Guarantor to lay such recommendation before the States Assembly for a period of ten days. If there are no objections after the ten days, the recommendation shall be considered made.

 

Resource Implications:

Remuneration for this position will be £15,000 per annum from Ist January 2017 for 3 years. This will paid by Andium Homes Ltd.

Action required:

Head of Decision Support to advise the Head of Shareholder Relations that the decision has been approved.

 

Head of Decision Support to request the Greffier of the States to arrange for the attached report to be presented to the States at the earliest opportunity.
