Stirling Square Capital Partners Holdings Limited notice of intended merger

​In accordance with Article 127FC of the Companies (Jersey) Law, 1991, as amended (the Law), Stirling Square Capital Partners Holdings Limited (the Company) gives notice that:

1. The Company together with Stirling Square Capital Partners Second Fund Holdings Limited, Stirling Square Capital Partners Third Fund Holdings Limited, (the "Merging Companies" and each a "Merging Company"), intends to merge, in accordance with Part 18B of the Law, with Stirling Square (Jersey) Limited a private limited liability no par value company formed under the laws of Jersey (Surviving Company) further to which the Merging Companies shall cease to exist and the Surviving Company shall continue as the “survivor company” (Merger)
2. Tthe merger agreement entered into between the Merging Companies and the Surviving Company in respect of the Merger is available to creditors from the Company, free of charge, on request
3. Any creditor of the Company may: 
1. ​object to the Merger under Article 127FE(2)(a) of the Law
2. require the Company to notify the creditor if any other creditor of the Company applies to the court under Article 127FE(2)(b) of the Law for the purpose of restraining the Merger
